ALWAYS PROSPER TERMS & CONDITIONS
Effective Date: January 1, 2026
These Terms & Conditions (“Terms”) govern your access to and use of the Always Prosper website (the “Site”) and any purchase of products from Always Prosper (“Always Prosper,” “we,” “us,” “our”). By using the Site, creating an account, opting into marketing, or placing an order, you agree to these Terms.
1) Eligibility
You must be at least 13 years old to use the Site. If you are under 18, you represent that you have permission from a parent or legal guardian.
​2) Accounts
If you create an account, you agree to provide accurate information and keep your login credentials confidential. You are responsible for activity under your account.
3) Products, Descriptions, and Availability
We sell apparel and accessories. Product photos and colors may appear differently depending on lighting and device display. Fit and sizing may vary by style and production tolerances. Inventory may be limited; we may limit quantities, refuse orders, or discontinue products at any time.
4) Pricing, Taxes, and Payment
Prices are shown in USD unless stated otherwise. Taxes (if applicable) are calculated at checkout. Payments are processed by third-party payment providers through the checkout experience; we do not store full payment card details.
5) Order Acceptance
Your order is an offer to purchase. We may accept, refuse, limit, or cancel orders at our discretion (including for suspected fraud, errors, inventory issues, or shipping restrictions). If we cancel an order after payment, we will issue a refund to the original payment method.
6) Processing Times
Unless otherwise stated on the product page, orders are processed within 8–15 business days (excluding weekends and public holidays). When your order is handed to the delivery carrier, tracking will be sent to you.
7) Pre-Orders
We may offer pre-orders (typically 2–4 weeks before an official drop). Any stated ship dates are estimates. After the drop date (or as otherwise stated on the product page), standard processing time generally applies. Pre-orders are final sale and follow the same no-return policy in Section 10.
8) Shipping Coverage
Current: United States and U.S. territories.
Future: We may offer international shipping in the future. If international shipping is enabled, additional terms may apply (including customs duties/taxes and import requirements).
9) Cancellations
No cancellations: Once an order is submitted, processing begins, and the order cannot be canceled.
Extended delay exception (6+ weeks): If an order has not shipped due to an extended processing delay exceeding six (6) weeks from the date of purchase, we will notify you that you may request cancellation for a full refund prior to shipment.
10) Returns & Exchanges
ALL SALES ARE FINAL. We do not accept returns or exchanges for any reason, including sizing/fit preference, change of mind, styling preference, or accidental purchase.
11) Wrong Item Shipped (Limited Exception)
If we shipped the wrong item, email alwaysprosper.co@gmail.com within 7 days of delivery and include your order number and clear photos of what you received. If confirmed, we will correct the issue (typically by sending the correct item). If the correct item is unavailable, we may provide store credit or a refund at our discretion.
12) Carrier Delays, Lost Packages, and Damage
Carrier delays: Delivery delays caused by the shipping carrier are outside our liability. Please get in touch with the carrier first using tracking for status updates.
Risk of loss: Once a package is handed to the carrier, the risk of loss/damage transfers to the customer, to the extent permitted by law.
Damage on arrival: If your order arrives damaged, contact us, and we will assist you in filing a claim with the shipping carrier. You may be required to provide photos of the packaging, shipping label, and item condition.
13) Shipping Restrictions
Orders cannot be shipped to locations not allowed by the U.S. government. Certain items may be subject to transportation restrictions and may require alternative shipping methods.
14) Promotions and Discount Codes
Promotions and discount codes may be modified or ended at any time. Codes are not redeemable for cash and may be subject to additional rules communicated at the time of the promotion.
15) Communications (Transactional + Marketing)
By placing an order, you consent to receive transactional communications (e.g., order confirmation, shipping updates) via email and/or SMS where available. If you opt into marketing, you may receive promotional emails and SMS messages sent through our marketing tools.
Email opt-out: Use the unsubscribe link in the email.
SMS opt-out: Reply STOP (or follow the opt-out instructions included in the message).
16) Intellectual Property
All Site content (logos, designs, product names, text, graphics, photos, videos, and overall look/feel) is owned by or licensed to Always Prosper and protected by applicable intellectual property laws. You may not use, copy, reproduce, distribute, or exploit our content without written permission.
17) User Content (Reviews, Tags, and Reposts)
If you submit content (reviews, comments, photos, videos) or tag us, you represent that you have the rights to do so and grant Always Prosper a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute that content for brand and marketing purposes. You may request removal by emailing alwaysprosper.co@gmail.com.
18) Prohibited Conduct
You agree not to misuse the Site, engage in unlawful activity, submit fraudulent orders, interfere with Site operations, attempt unauthorized access, scrape or reverse-engineer the Site, or violate any third-party rights.
19) Disclaimer of Warranties
To the fullest extent permitted by law, the Site and products are provided “as is” and “as available,” without warranties of any kind, express or implied. Some jurisdictions do not allow certain limitations; nothing in these Terms limits rights that cannot legally be waived.
20) Limitation of Liability
To the fullest extent permitted by law, Always Prosper will not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim relating to a purchase will not exceed the amount you paid for the product(s) at issue.
21) Indemnification
You agree to indemnify and hold harmless Always Prosper and its founders from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site, violation of these Terms, or violation of any law or third-party rights.
22) Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.
23) DISPUTE RESOLUTION: BINDING INDIVIDUAL ARBITRATION + CLASS ACTION WAIVER
PLEASE READ CAREFULLY. THIS SECTION AFFECTS YOUR LEGAL RIGHTS.
23.1 Scope (Narrow Consumer-Contract Scope)
This arbitration agreement applies only to disputes arising out of or relating to your purchase, use, payment for, or provision of products under these Terms (a “Dispute”). It is intended to be limited to the specific consumer transaction as required for consumer agreements entered into on/after January 1, 2026, under California SB 82.
23.2 Informal Resolution First
Before initiating arbitration, you agree to email alwaysprosper.co@gmail.com with your order number and a description of the issue. The parties will attempt to resolve the Dispute informally for 30 days.
23.3 Arbitration Provider and Rules
If not resolved, the Dispute will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable consumer arbitration rules and any applicable mass arbitration procedures.
If AAA is unavailable, the parties will use a reputable alternative arbitration provider and comparable consumer rules, by mutual agreement.
23.4 Location and Format
Arbitration will occur in Los Angeles County, California, unless the parties agree to remote arbitration (video) or another location as permitted by the arbitration rules.
23.5 Individual Basis Only; Class Action Waiver
Arbitration will be conducted only on an individual basis. You and Always Prosper waive any right to have any Dispute brought, heard, administered, arbitrated, or resolved as a class, collective, representative, or private attorney general action, to the fullest extent permitted by law.
23.6 Small Claims Exception
Either party may bring an individual claim in small claims court if it qualifies and remains in small claims court.
23.7 Fees and Payment Timing (California 30-Day Framework)
Arbitration fees and cost allocations will be governed by the applicable arbitration rules and California law. California law includes strict consequences tied to timely payment of certain arbitration fees (including a 30-day framework in specified contexts).
Nothing in these Terms is intended to limit rights or remedies you may have under applicable fee-payment statutes.
23.8 Mass Arbitration / Batching Procedure
If 25 or more substantially similar arbitration demands are filed or coordinated against Always Prosper, the parties agree to work in good faith to apply an efficient process consistent with the administrator’s mass arbitration framework, including batching/staged proceedings where appropriate.
23.9 Severability
If the class action waiver is found unenforceable for a particular claim, that claim must be litigated in court (not arbitrated). The remaining claims will proceed on an individual basis.
24) Changes to These Terms
We may update these Terms from time to time. The Effective Date reflects the latest version. Continued use of the Site after changes constitutes acceptance of the updated Terms.
25) Severability
If any provision is held unenforceable, the remaining provisions remain in full force and effect.
26) Entire Agreement
These Terms, together with our Privacy Policy and any policies referenced at checkout, constitute the entire agreement between you and Always Prosper regarding the Site and purchases.

Payment Information:
Payments are processed through Wix Payments (including debit/credit cards and supported digital wallets such as Apple Pay and Google Pay). We do not store full payment card details; payment processing is handled by Wix Payments and its payment partners.

You (checkout, account registration, email/SMS signup, customer support)
Your device/browser when you use our Site (via cookies and similar technologies used by Wix and required site functionality)

We do not sell personal information for money.
Based on our current setup (Wix Analytics, META PIXELS, GOOGLE ANALYTICS), we do share personal information for cross-context behavioral advertising, as those terms are commonly used under California law.
You, as the consumer and website visitor, have the option, as listed in our COOKIES and SIMILAR Technologies, to opt out of sharing Specific Information with Third-Party Systems used by our business to help Understand Customer engagement and interests that support our business's developmental procedures.
6) Cookies and Similar Technologies

Message and data rates may apply depending on your carrier/plan.
Transactional communications (order confirmations, shipping updates) may still be sent as part of providing the Services.
8) Data Retention
We retain personal information only as long as reasonably necessary for the purposes described in this policy, including:
maintaining order records for customer support and business recordkeeping,
complying with legal/tax obligations,
preventing fraud and resolving disputes, and maintaining marketing records until you unsubscribe/opt out.
California’s Notice at Collection framework expects businesses to disclose retention periods or retention criteria.

We use reasonable administrative, technical, and organizational safeguards designed to protect personal information. No method of transmission or storage can be guaranteed 100% secure.
10) Children’s Privacy
Our Services are not intended for children under 13, and we do not knowingly collect personal information from children under 13.
